According to SLCG Economic Consulting, Aegis Capital Corp. acted as underwriter, market maker, and/or broker-dealer on risky stocks. As sole underwriter on stocks from small businesses with no history of success, the firm allegedly brought these shares to markets even though it had no reason to think that returns for investors were likely.

Aegis Capital also purportedly made money from bid-ask spreads for these stocks that did poorly. Then, allegedly as a brokerage firm, its registered representatives made unsuitable investment recommendations of these stocks to customers and took part in market manipulation in order to push up the stocks’ prices. Not only that, but also Aegis is accused of offering inflated analyst coverage for a lot of the stocks it underwrote.

SLCG calls this a “farm-to-table securities fraud supply chain” by Aegis that allegedly caused a lot of retail investors to sustain at least $3B in collective losses in recent years alone. The economic consulting company also attributes over $1.5B in investor losses to unnecessary markdown, markups and bid-ask spread trading.

SLCG analysis indicates that Aegis Capital profited a lot from its underwriting and selling of these risky stocks—186 offerings for 111 issuers—for nearly a decade and a half.

In a February 2024 article, SLCG Economic Consulting includes Aegis Capital in its list as one of the top five broker-dealers that investors should be warned against in part because of complaints brought against the firms and their alleged financial advisor misconduct.
