The 2022, the US Securities and Exchange Commission (SEC) charged Camarda and McArthur with fraudulently offering and selling over $75M in these allegedly fraudulent securities. The regulator’s lawsuit is connected to a more than $500M alternative investment offering by Complete Business Solutions Group, Inc. /Par Funding, which was the subject of a 2020 fraud complaint by the SEC.

According to the Commission, AG Morgan Advisors principal Vincent Camarda started borrowing money from Par Funding through purported “merchant cash advance” transactions. AG Morgan Advisors ended up owing the latter and other creditors $2.63M by February 2018.

Par Funding allegedly raised more than $500M in unregistered promissory notes from investors. Camarda and James McArthur purportedly raised $75M from investors for these notes. They are accused of promising 12% interest with the return of principal after a year.

They also are accused of creating the AGM Fund I that—depending on whether the investor invested under or over $1M—was supposed to garner a 12% to 14% return. AGM Fund I’s private placement memorandum describes it as an early-stage company set up to run as a lending company to merchant cash advance business. It states that the alternative investment was high-risk.

Then there was the AGM Fund II that purportedly touted a 9% or 11% return depending on how much the investor put in—again, whether less than or over $1M.

Why You May Have Grounds For a Selling Away Claim in FINRA Arbitration

In addition to continuing to be registered investment advisers with AG Morgan Advisors, both Vincent Camarda and James McArthur were IBN Financial brokers from 2021-2022. Before that they were Traderfield Securities financial advisors from 2019-2020 and American Portfolio Financial Services brokers from 2014-018.

The SEC alleges that Camarda and McArthur were committing investment fraud as early as 2016. This likely means that investors whom the two investment advisers solicited sustained AGM Fund losses may have had accounts with one of the broker-dealers that the two men were registered with at the time. If so, then such an investor could have grounds for suing the brokerage firm for failure to supervise, selling away, and other broker misconduct.

Already, numerous investment loss recovery claims have been brought involving both ex-brokers. Vincent Camarda’s CRD shows 22 disclosures, including 17 FINRA lawsuits filed in 2024. The investors who are seeking financial recovery over their promissory notes are collectively seeking $19.8M in damages.  James McArthur’s CRD notes 18 disclosures, including 16 pending FINRA lawsuits—most of which seem to be the same ones involving Camarda.
